Name Must contain words Incorporated, Corporation, Company, Inc., Corp., Co., Limited Liability Company, Limited, Societa per Azioni, L.L.C., LLC, Ltd. or S.p.A. Fictitious names are filed in the office of the town clerk of the town, where they are used in the transaction of business.
Information about Directors and Officers  Company must have at least one Director. Required minimum of age is 18. No requirements for residence. President and Secretary cannot be the same person. It is not required to list Directors and Officers in the Articles of Incorporation.
Requirements for address Home or Office street can be considered as company address. P.O. Box is not admissible.
Registered Agent Registered Agent is required if you do not live or have an office in Connecticut. Otherwise, you can be your Own Registered Agent.
Shares/Stock informationYou may authorize up to 20,000 shares to incur the minimum organizational tax (included in filing fee of $200). Add One half cent per share over 20,000. Initial filing fees may change with an increase in shares or par value.
Annual statement

New domestic Corporations file their first report within 30 days after an organization meeting. Cost for domestic Corporations is $75 per annual report. Foreign Corporations must pay $300.

State feesState fee is $200 filing fee. $150 is organizational tax and $50 is certificate-filing fee.
Income tax rate7.5% of net income.
Franchise taxNo Franchise Tax.
S CorporationsStatus is recognized by the State. A separate State election from federal election is not required.
License requirementsCertain types of businesses in the State (accounts, architects, attorneys, barbers, child day care services, collection agencies, electrical workers, fund-raising organizations, home improvement contractors, insurance, investment, real state, television, radio, stereo, and receiving equipment service, repair vending machines and operators etc.) are required to obtain a license and pay fee. Check with the State to make sure your business is complying with the license requirements for your particular profession.
Corporate recordsCertificate of Incorporation; Bylaws; certain resolutions adopted by board of directors; minutes of all shareholders' meetings; records of all actions taken by shareholders without a meeting for the past three years; a list of names and addresses of current directors and officers; and the most recent annual report must be kept at the Corporation's principal office.
