NameMust contain words Corporation, Company, Incorporated, Inc., Co., Corp., Limited Liability Company, Limited Company, Limited, L.L.C., LLC, L.C., LC or Ltd. Fictitious names fee is $50.
Information about Directors and Officers Company must have at least one Director. President and Secretary cannot be the same person. No requirements for age or residence. It is not required to list Directors and Officers in the Articles of Incorporation.  
Requirements for address Home or Office street can be considered as company address. P.O. Box is not admissible.
Registered Agent Registered Agent is required if you do not live or have an office in Idaho. Otherwise, you can be your Own Registered Agent.
Shares/Stock informationNumber of shares is at your discretion. Initial filing fees do not change with an increase in shares or par value.
Annual statementAnnual reports should be filed with the Secretary of State between July 1 and November 30 of the year. The first annual report of a Corporation must be filed between July 1 and November 30 of the State fiscal year (July 1-June 30) next succeeding the State fiscal year in which its Articles of Incorporation or its application for Certificate of Authority was filed.
State feesState filing fee is $100 plus $20 expedited service.
Income tax rate8% of taxable Idaho income. A minimum tax of $20 is imposed on all Corporations.
Franchise taxNo franchise tax.
S CorporationsStatus is recognized by the State. A separate State election from federal election is not required.
License requirementsIdaho requires most businesses to obtain a license and pay a fee if operating in the State. Check with the State to make sure your business is complying with the license requirements for your particular profession.
Corporate records  Business activity must be specified in Articles of Incorporation.
