Information about Directors and Officers

Company must have at least one Director. One director can hold all officer positions. 18 years of age or older and no residence requirements. It is required to list Directors, but it is not required to list Officers in the Articles of Incorporation.

Requirements for address

Home address can be considered as company address. P.O. Box is not admissible.

Registered Agent

Registered Agent is required if you do not live or have an office in South Dakota. Otherwise, you can be your Own registered Agent.

Shares/Stock information

Authorize up to 25,000 shares of stock $1 at par value or 250 shares at no par value and incur the minimum $90 fee. You have to State that the Corporation will not commence business until consideration of the value of at least $1,000 has been received for the issuance of shares. An increase in the shares may cause an increase in the initial filing fee.

Annual statement

The annual State is due to Secretary of State by the 1st day of the 2nd month following the anniversary month of the Corporation each year. Fee for filing report is $50.

S Corporations

Status is recognized by the State. Separate State election from the federal election is not required. However, SD imposes neither a corporate income tax nor personal income tax.

License requirements

Most businesses must obtain a license and pay a fee if operating in the State. Check with the State to make sure your business is complying with the license requirements for your particular profession.

Corporate records

A stock transfer ledger must be kept at the principal corporate office.
