Company must have at least one Director. No age or residence requirement. One director can hold officer positions. It is not required to list Directors and Officers in the articles of incorporation.

Home address can be considered as company address. P. O. Box is not admissible.

Registered Agent is required if you do not live or have an office in Virginia. Otherwise, you can be your Own Registered Agent.

The character fee is $50 for each 25,000 shares of stock. If you authorize more than 25,000 shares, fee will increase. An increase in the shares may cause an increase in the initial filing fee.

Domestic corporations and qualified foreign corporations must file an annual report with the State Corporation Commission between January 1 and April 1 of each year after the calendar year in which incorporated or authorized to transact business. The annual registration fee is $50 if your number of authorized shares is 5,000 shares or less. If your corporation has authorized shares of more than 5,000, you pay an annual fee of $50 plus $15 for each additional 5,000 shares, up to a maximum of $850.

Status is recognized by the state. Separate state election from the federal election is not required.

Most businesses must obtain a license and pay a fee if operating in the state. Check with the state to make sure your business is complying with the license requirements for your particular profession.
